SENIOR PARALEGAL

Purpose

Utilizes a specialized level of paralegal skills in all stages of support for the ONEOK corporate secretary function, including corporate governance, NYSE and SEC compliance, and preparation of documents necessary to comply with federal, state and local regulations in the conduct of business activities, as well as to support merger/acquisition transactions, and related paper and electronic recordkeeping.

Scope of Duties and Responsibilities

  • Plan and coordinate meetings, including annual and special meetings of shareholders, meetings of the board of directors and board committees, along with preparation and dissemination of materials required for those meetings.

  • Prepare minutes, resolutions, consents, presentations, reports and any and all documentation required to facilitate and record corporate (including subsidiaries) actions.

  • Prepare corporate documents for subsidiaries (both foreign and domestic), as well as maintain entity and jurisdictional database to include all current and historical parent and subsidiary data.

  • Prepare documents required to form corporations, partnerships and limited liability companies, as well as any amendments, mergers, withdrawals and dissolutions of same.

  • Maintain and update board committee charters, governance guidelines and other corporate governance policies, as well as maintain current postings on internal and external websites.

  • Assist with drafting of the annual proxy statement, including coordination with various departments to compile information included in the proxy and perform the necessary due diligence required for disclosure in the proxy.

  • Prepare and maintain annual director and officer questionnaires and related independence matrix, lists for parent and subsidiaries, board of directors and board committee meeting calendars, and annual budget and monthly forecasts for department.

  • Work with stock transfer agent, auditors and registered service agent to fulfill due diligence requests and other requests for information.

  • Coordinate and manage annual corporate compliance process for ONEOK, including tracking and maintaining database of compliance participation for all employees.

  • Assist with NYSE and SEC compliance, including periodic written affirmations, reporting of dividends and outstanding shares, preparation of Section 16 filings and director compensation and stock plan administration.

  • Support and review of required filings to maintain SEC compliance, including familiarity with SEC Acts.

  • Assist in administering ONEOK Securities/Insider Trading Policy including stock trade preclearance authorizations and related database maintenance.

  • Organize and maintain corporate records, including minute books, corporate filings, transactional and historical records, as well as general record keeping.

  • Regular and reliable attendance is required in performance of job.

  • Employee may be required to perform additional duties as assigned.

Experience

Associate’s degree as a professional legal assistant with previous paralegal experience and the following job-related experience:

  • Experience with corporate secretary functions for a publicly traded company required.

  • Experience drafting and/or preparing documents such as minutes, resolutions, contracts, reports, director and shareholder communications used by corporate secretary and/or legal staff.

  • Experience accessing, researching and managing information in various databases and computer applications.

  • Experience researching, online filing (NYSE/SEC), managing and extracting information from online websites.

  • Use of keyboards (70 wpm).

  • Application of basic arithmetic: addition, subtraction, multiplication, and division. Application of decimals and percentages.

  • Experience in use and function of office equipment applicable to position including high end copy machines with job building capabilities, scanners and facsimile machines.

  • Experience and training related to:

  • Microsoft Word, Excel and PowerPoint

  • Database access, maintenance and reporting

  • Developing and maintaining filing systems

  • Legal terminology

  • Planning board and board committee and shareholder meetings and related logistics

  • Preparation, assembly and distribution of board related materials

  • General business organization and structure

  • Generally accepted standards for grammar and punctuation

  • Experience advising, assisting, interacting and communicating effectively.

  • Demonstrated ability to read and write fluently in English.

  • Preferred experience with Concur and budgeting software.

Certification/Licensing

  • Certified Legal Assistant (CLA) certification preferred.

Physical Requirements

  • Lift or move objects weighing up to 10 pounds 3-5 times daily.

  • Ability to operate tools and equipment required.

Communication Requirements

  • Communicate and/or exchange information or instruction.

Visual Requirements

  • Sufficient to perform job duties.
